These Terms and Conditions ("Terms") govern your use of the website operated by Tech Innovation Group ("we," "us," or "our") and all professional consulting services provided by us. By accessing our website or engaging our services, you agree to comply with and be bound by these Terms.

 

1. Website Use and Intellectual Property

 

• Acceptance: Your use of our website constitutes your acceptance of these Terms. If you disagree, you must cease use immediately.

• Intellectual Property: All content on our website and in our Executive Insights (Blog), including text, graphics, logos, and the P&L-Driven IT Strategy methodology, is the property of Tech Innovation Group and is protected by copyright and intellectual property laws.

• Permitted Use: You may view, download, and print pages from the website for your own personal and non-commercial use, subject to the restrictions below.

• Restrictions: You must not republish, sell, rent, sublicense, or redistribute content from the website, especially our strategic methodologies, without prior written consent.

 

2. Consulting Services Agreement (Contract Scope)

 

• Engagement: The scope of any Interim Executive Leadership or P&L-Driven Transformation service will be detailed in a separate, formal Statement of Work (SOW) or Master Services Agreement (MSA), which will override these general T&Cs in the event of a conflict.

• No Guarantee: While we strive for excellence and aim for multi-million-dollar cost avoidance, we do not guarantee specific financial results or outcomes (e.g., system uptime, cost savings, or project timelines) unless explicitly stated in an SOW. Our role is to provide strategic advice and executive guidance based on data-driven analysis.

• Client Responsibility: You, the client, are responsible for the ultimate decision to implement our strategic advice and bear all risk associated with implementation.

 

3. Payment Terms and Fees

 

• Fee Structure: All fees for services, including retainers for Fractional Executive Leadership or fixed fees for an Incisive Financial Audit, will be outlined in the SOW/MSA.

• Invoicing: Invoices will be issued as specified in the SOW/MSA.

• Late Payment: Tech Innovation Group reserves the right to charge interest on late payments or suspend services until payment is made in full.

 

4. Limitation of Liability (Crucial Executive Section)

• No Consequential Damages: To the maximum extent permitted by applicable law, in no event shall Tech Innovation Group, or its officers or agents, be liable for any direct, indirect, punitive, incidental, special, or consequential damages, including without limitation, damages for loss of profits, revenue, data, or business interruption, arising out of or in any way connected with the use of our services or website.

• Cap on Liability: Our total cumulative liability to you, arising from or relating to your use of our services or website, shall be limited to the amount you paid us for the services provided during the six (6) months preceding the claim.

 

5. Termination

 

• By Client: You may terminate your relationship with Tech Innovation Group pursuant to the terms outlined in your active SOW/MSA.

• By Tech Innovation Group: We reserve the right to suspend or terminate your access to the website or services at any time, without notice, if you breach these Terms or for failure to pay fees.

 

6. Governing Law and Jurisdiction

 

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Chattanooga, Tennessee.

 

7. Changes to Terms and Conditions

 

We reserve the right to revise these Terms at any time. The updated version will be indicated by a revised "Effective Date" at the top of this document. Your continued use of the website or engagement in services constitutes acceptance of the revised Terms.
